This website (the "Site") is owned and operated by Reserve Med Supply ("RMS," "us," "we," or "our"). By using the Site, you agree to be bound by these Terms of Service and to use the Site in accordance with these Terms of Service, our Privacy Policy, and any additional terms and conditions that may apply to specific sections of the Site or to products and services available through the Site or from RMS. Accessing the Site, in any manner, whether automated or otherwise, constitutes use of the Site and your agreement to be bound by these Terms of Service.

RMS reserves the right to change these Terms of Service or to impose new conditions on use of the Site, from time to time, in which case RMS will post the revised Terms of Service on this Site. By continuing to use the Site after RMS posts any such changes, you accept the Terms of Service, as modified.

Intellectual Property Rights

This Site and all the materials available on the Site are the property of RMS and/or our affiliates or licensors, and are protected by copyright, trademark, and other intellectual property laws. The Site is provided solely for your personal noncommercial use. You may not use the Site or the materials available on the Site in a manner that constitutes an infringement of our rights or that has not been authorized by RMS. More specifically, you may not modify, copy, reproduce, republish, upload, post, transmit, translate, sell, create derivative works, exploit, or distribute in any manner or medium (including by email or other electronic means) any material from the Site.

By posting or submitting any material (including, without limitation, reviews and photos) to RMS via the Site, you represent: (i) that you are the owner of the material, or are making your posting or submission with the express consent of the owner; and (ii) that you are eighteen years of age or older. In addition, when you submit or post any material, you grant RMS, and anyone authorized by RMS, a royalty-free, perpetual, irrevocable, non-exclusive, unrestricted, worldwide license to use, copy, modify, transmit, sell, exploit, create derivative works from, distribute, and/or publicly perform or display such material, in whole or in part, in any manner or medium, now known or hereafter developed, for any purpose.

Nature of Services 

Reserve Med Supply is not a pharmacy, medical practice, or healthcare provider. RMS operates exclusively as a facilitator that connects patients with (a) independent licensed physicians through our licensed physician network partner for telehealth consultations, and (b) our licensed pharmacy partner for fulfillment of any prescriptions issued. All medical decisions, including whether to prescribe any medication, are made exclusively by independent licensed healthcare providers based on their independent professional judgment. RMS has no control over those clinical decisions and accepts no responsibility for them.

The issuance of a prescription is not guaranteed. A physician may decline to prescribe based on their clinical assessment, your medical history, applicable state law, or any other factor within the physician's professional judgment.

Eligibility

You must be at least 18 years of age and a resident of a U.S. state in which our licensed physician network partner and our licensed pharmacy partner are licensed and authorized to operate. By using the Site, you represent and warrant that you meet these requirements. RMS reserves the right to reject or cancel orders from jurisdictions where services cannot legally be provided.

Use of the Site

You agree to use the Site only for lawful purposes. You agree not to use the Site to:

  • Violate any applicable federal, state, or local laws or regulations.

  • Submit false, misleading, or inaccurate information, including in any medical intake questionnaire.

  • Use the Site to advertise or solicit to anyone to buy or sell products or services, or to make donations of any kind, without our express written approval.

  • Gather for marketing purposes any email addresses or other personal information that has been posted by other users of the Site.

  • Impersonate any person or entity or misrepresent your affiliation with any person or entity.

  • Attempt to gain unauthorized access to any portion of the Site or any systems or networks connected to the Site.

  • Transmit any viruses, worms, defects, Trojan horses, or any items of a destructive nature.

Account Registration

To access certain features of the Site, RMS may ask you to create an account by providing certain information, including your first name, last name, email address, and phone number. You agree to provide true, accurate, current, and complete information about yourself as prompted by the Site's registration form. If RMS has reasonable grounds to suspect that such information is untrue, inaccurate, or incomplete, RMS has the right to suspend or terminate your account and refuse any and all current or future use of the Site. Our use of any personally identifiable information you provide to RMS as part of the registration process is governed by the terms of our Privacy Policy.

To use certain features of the Site, you will need a username and password, which you will receive through the Site's registration process. You are responsible for maintaining the confidentiality of the password and account, and are responsible for all activities (whether by you or by others) that occur under your password or account. You agree to notify RMS immediately of any unauthorized use of your password or account or any other breach of security.

Medical Intake and Ordering

By placing an order and submitting a medical intake questionnaire, you represent that all information you provide is true, complete, and accurate to the best of your knowledge. You acknowledge that the reviewing physician relies on the information you provide, and that inaccurate or incomplete information may result in an inappropriate prescription or a refusal to prescribe. Providing false medical information may violate federal and state laws.

An order submitted through the Site constitutes an offer to purchase, which RMS may accept or decline. Receipt of an order confirmation does not guarantee that a prescription will be issued.

Emergency Use Acknowledgment

By purchasing a Kit, you acknowledge and agree that:

  • The medications in the Kit are prescription drugs intended for emergency use only - situations where you have made a good-faith effort to obtain care from a licensed healthcare provider and that care is not reasonably available.

  • You will not use the Kit medications as a substitute for routine medical care.

  • You will store all medications securely, out of reach of children, in accordance with the instructions provided.

  • You will follow the prescribing instructions and dosage guidance in the Reserve Med Guidebook included with your Kit. Misuse of prescription medications can cause serious harm or death.

  • The medications are prescribed for your personal use only. You will not transfer, sell, or distribute them to any other person.

Pricing and Payment

Prices shown on the Site are subject to change at any time prior to acceptance of your order. RMS reserves the right to correct pricing errors. Payment is due at the time of order submission. We accept major credit and debit cards through our secure payment processor. By providing payment information, you authorize RMS to charge the applicable amount. All charges are in U.S. dollars. Price includes a professional telehealth consultation provided by an independent licensed clinician. A portion of the price represents a medical consult fee paid to the clinician or clinician group.

Disclaimer of Warranties

THE SITE AND ALL MATERIALS, INFORMATION, PRODUCTS AND SERVICES INCLUDED IN THE SITE ARE PROVIDED "AS IS" AND WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMISSIBLE PURSUANT TO APPLICABLE LAW, RMS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. RMS DOES NOT REPRESENT OR WARRANT THAT THE SITE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SITE OR THE SERVER THAT MAKES THE SITE AVAILABLE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

RMS DOES NOT MAKE ANY REPRESENTATIONS OR WARRANTIES ABOUT THE ACCURACY, RELIABILITY, COMPLETENESS, OR TIMELINESS OF THE CONTENT, SERVICES, SOFTWARE, TEXT, GRAPHICS, AND LINKS AVAILABLE ON THE SITE.

Limitation of Liability

IN NO EVENT SHALL RMS, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES WHATSOEVER RESULTING FROM ANY (I) ERRORS, MISTAKES, OR INACCURACIES OF CONTENT; (II) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO AND USE OF OUR SITE; (III) UNAUTHORIZED ACCESS TO OR USE OF OUR SECURE SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION AND/OR FINANCIAL INFORMATION STORED THEREIN; (IV) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM OUR SITE; OR (V) ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE, WHICH MAY BE TRANSMITTED TO OR THROUGH OUR SITE BY ANY THIRD PARTY, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT RMS IS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE EXTENT LIABILITY IS NOT EXCLUDED, RMS'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SITE OR SERVICES SHALL BE LIMITED TO THE AMOUNT ACTUALLY PAID BY YOU TO RMS FOR THE APPLICABLE ORDER.

Some jurisdictions do not allow the exclusion or limitation of certain types of damages, so some or all of the above may not apply to you.

Indemnification

You agree to defend, indemnify, and hold harmless Reserve Med Supply, its parent companies, affiliates, subsidiaries, officers, directors, employees, and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including, but not limited to, attorney's fees) arising from: (i) your use of and access to the Site; (ii) your violation of any term of these Terms of Service; (iii) your violation of any third-party right; or (iv) any false or inaccurate information you provide in connection with the Site or any medical intake questionnaire. This defense and indemnification obligation will survive these Terms of Service and your use of the Site.

Governing Law; Dispute Resolution

These Terms of Service shall be governed by and construed in accordance with the laws of the State of Tennessee, without regard to its conflict of law provisions. Any dispute arising from or relating to these Terms of Service or your use of the Site shall be resolved by binding arbitration in Davidson County, Tennessee under the rules of the American Arbitration Association, except that either party may seek injunctive or equitable relief in a court of competent jurisdiction. YOU WAIVE ANY RIGHT TO A JURY TRIAL OR TO PARTICIPATE IN A CLASS ACTION WITH RESPECT TO ANY DISPUTE COVERED BY THIS AGREEMENT.

Although not guaranteed, every effort has been made to accurately represent our products and their potential. Any statements made by endorsing physicians reflect their personal opinions based on their general professional expertise and their review of the product. Endorsing physicians are not the prescribing physicians for individual customers unless otherwise indicated.

Survey Data

Survey data cited in our marketing reflects the results of surveys of a defined sample of respondents and may not be representative of the general population. Full survey methodology is available upon request.

Reserve Med Supply has material relationships with our licensed physician network partner and our licensed pharmacy partner, which are our primary operational partners. These relationships are disclosed here and throughout the Site in the interest of transparency.
